DabbaX – Terms and Conditions

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE PLATFORM.
These Terms and Conditions (“Terms”, “T&C”) govern the access to and use of the DabbaX platform by customers, suppliers, and delivery/logistics partners.
These Terms constitute an electronic record under the Information Technology Act, 2000 and do not require physical or digital signatures.
By accessing, registering on, or using the Platform, you agree to be bound by these Terms, the Privacy Policy, and all other policies published by DabbaX. If you do not agree, please do not use the Platform.
1. Definitions
• “Company” refers to DabbaX Food Aggregators Private Limited.
• “Platform” refers collectively to the DabbaX Customer App, DabbaX Supplier App, DabbaX Delivery Partner App, and the website.
• “Supplier” refers to independent food vendors/kitchen owners listing food products on the Platform.
• “Customer” refers to users purchasing food products from Suppliers.
• “Delivery Partner / Partner” refers to individuals or entities providing delivery or pickup-point services.
2. Nature of Platform & Intermediary Role
DabbaX is a technology-enabled food aggregation and logistics facilitation platform.
• DabbaX does not prepare, cook, package, brand, store, or sell food.
• All food products are prepared, owned, and sold exclusively by Suppliers.
• DabbaX does not control or supervise food preparation or quality.
• DabbaX acts strictly as an intermediary under applicable Indian laws.
The contract for sale of food is strictly between the Supplier and the Customer.
3. Services Offered
The Platform enables:
• Suppliers to list and sell food items
• Customers to browse and place orders
• Delivery Partners to facilitate pickup and delivery
• Optional self-pickup or pickup-point based fulfillment
Delivery timelines are indicative only and depend on supplier readiness, order volume, traffic, and local conditions.
4. Supplier Obligations
Suppliers are solely responsible for:
• Food quality, safety, hygiene, and freshness
• Compliance with FSSAI, GST, and all applicable laws
• Accurate listing of menus, pricing, availability, and ingredients
• Packaging food in a safe and secure manner
• Handling cancellations and refunds within the defined window
DabbaX shall not be liable for food quality, health issues, or regulatory violations by Suppliers.
5. Customer Obligations
Customers agree to:
• Provide accurate contact and delivery details
• Make payments through authorized payment methods
• Use the Platform only for lawful purposes
• Raise issues directly with Suppliers where applicable
DabbaX does not guarantee delivery speed, uninterrupted service, or product suitability.
6. Delivery Partners & Pickup Point Partners
Delivery Partners and Pickup Point Partners:
• Act as independent contractors, not employees of DabbaX
• Are responsible for careful handling and timely delivery
• Must comply with applicable transport and safety laws
• Are liable for loss, damage, or mishandling during delivery
DabbaX is not responsible for acts or omissions of Delivery Partners.
7. Payments, Refunds & Wallet
• Payments are processed through authorized payment gateways.
• DabbaX does not store card or UPI credentials.
• Orders cancelled within the Supplier’s permitted cancellation window are eligible for refunds.
• Refunds may be credited to the original payment method or the Customer’s wallet.
• Wallet refunds may be used for future purchases on the Platform, including from the same Supplier.
No refunds are guaranteed for orders cancelled outside the permitted window.
8. No Warranty & Limitation of Liability
The Platform is provided on an “as-is” and “as-available” basis.
DabbaX disclaims all warranties including:
• Food quality
• Fitness for consumption
• Delivery timelines
• Availability of Suppliers or Partners
DabbaX shall not be liable for:
• Food-related illnesses or dissatisfaction
• Delays due to traffic, weather, or operational issues
• Acts or omissions of Suppliers or Partners
• Indirect, incidental, or consequential damages
9. Suspension & Termination
DabbaX reserves the right to suspend or terminate access for:
• Policy violations
• Repeated complaints
• Legal or regulatory non-compliance
• Fraudulent or abusive behavior
Such action may be taken without prior notice.
10. Intellectual Property
All platform content, trademarks, logos, and software belong to DabbaX. Users may not copy, modify, or misuse intellectual property without written consent.
11. Indemnity
Users agree to indemnify and hold harmless DabbaX from any claims, losses, damages, penalties, or expenses arising from:
• Breach of these Terms
• Violation of laws
• Misconduct or negligence
12. Force Majeure
DabbaX shall not be liable for failure to perform obligations due to events beyond reasonable control including natural disasters, strikes, network failures, or government actions.
13. Governing Law & Jurisdiction
These Terms shall be governed by the laws of India. Courts at Noida, Uttar Pradesh shall have exclusive jurisdiction.
